Terms & Conditions

The terms for using this website and for buying services and software products from Human Reasoning Labs.

These Terms & Conditions (“Terms”) are an agreement between you and Human Reasoning Labs Private Limited (“Company”, “we”, “us” or “our”). They apply to this website, humanreasoninglabs.com, and to the services and software products we sell. By using the website, or by buying a service or product from us, you agree to these Terms. If you act for an organization, you confirm that you have the authority to bind it.

1. Who we are

Human Reasoning Labs Private Limited is a private limited company incorporated in India under the Companies Act, 2013 (CIN U63990OD2026PTC052715). We design, build and operate AI systems and business software.

2. What we offer

  • Professional services: AI-first product design, intelligent automation, custom enterprise resource planning systems, AI products, agentic systems and architecture consulting. We deliver each engagement under a written proposal, statement of work or agreement (an “Engagement Agreement”).
  • Software products: subscription software that we build and operate. This includes KaryaFlow, a field service management platform.

The content on this website is general information about our company and our work. It is not an offer that you can accept, and it is not professional advice. We may change or remove content at any time. You agree that you will not:

  • Use the website for an unlawful purpose or in breach of an applicable law or regulation.
  • Try to get unauthorized access to the website, its servers or connected systems.
  • Interfere with the security or normal operation of the website, or send it malicious code.
  • Use automated tools to copy the website in a way that puts an unreasonable load on it.
  • Give a false identity, or falsely claim a relationship with us.

5. Fees, taxes and payment

  • Currency and tax: fees are in Indian Rupees (INR) unless your Engagement Agreement states another currency. Fees exclude Goods and Services Tax (GST). We add GST at the applicable rate, currently 18%, where it applies.
  • Services: the fees, milestones and due dates for an engagement are in its Engagement Agreement.
  • Product subscriptions: subscriptions are prepaid. We confirm the plan and the amount before we activate access.
  • Payment methods: you can pay by bank transfer (NEFT, RTGS or IMPS), UPI, card or net banking. Third-party payment gateway partners and banks process online payments. We do not receive or store full card numbers, card verification codes, net banking passwords or UPI PINs.
  • Invoices: Human Reasoning Labs Private Limited issues a tax invoice for each payment.
  • Late payment: if we do not receive a payment by its due date, we may pause work or suspend access until you pay the outstanding amount.
  • Refunds and cancellations: our Refund & Cancellation Policy applies.

6. Intellectual property

  • This website: the Human Reasoning Labs name, logo, text, design and graphics belong to the Company or its licensors. You may not copy or reuse them without our written permission.
  • Work for clients: the Engagement Agreement sets out who owns, and who may use, the work we create for a client. Unless that agreement says otherwise, our pre-existing tools, methods and know-how remain ours.
  • Products: our software products, including their source code, design and documentation, remain our property. Customers get a limited right to use a product under that product's terms.
  • Your material: you keep ownership of the data and material you give us. We use them only to do the work you asked for.

7. Confidentiality

Each party will keep the other party's non-public business information confidential and will use it only for the purpose for which it was shared. If you and we have signed a confidentiality agreement or an Engagement Agreement with confidentiality terms, that document prevails.

8. Third-party services and links

This website links to services that other companies operate, such as a meeting scheduler and social networks. Those services have their own terms and privacy policies. We are not responsible for their content or their practices.

9. Disclaimer and limitation of liability

To the maximum extent permitted by applicable law:

  • This website and its content are provided on an “as is” and “as available” basis, without warranties of any kind, express or implied.
  • Human Reasoning Labs Private Limited is not liable for indirect, incidental, special, consequential or punitive damages. This includes loss of revenue, loss of data, loss of business and business interruption.
  • Our total liability for all claims that relate to these Terms, our services or our products will not exceed the total fees you paid to Human Reasoning Labs Private Limited in the twelve (12) months before the event that caused the claim.
  • We are not responsible for loss or damage caused by outages of third-party service providers or by events outside our reasonable control.
  • Nothing in these Terms removes a liability that the law does not allow us to remove.

10. Termination

  • Website: we may restrict your access to this website if you breach these Terms.
  • Services: the Engagement Agreement sets out how you or we can end an engagement.
  • Products: the terms of each product set out how a subscription ends.
  • Survival: the sections on intellectual property, confidentiality, limitation of liability and governing law, and any payment that is already due, continue after termination.

11. Governing law and disputes

The laws of India govern these Terms, without regard to conflict of law principles. The courts in Bhubaneswar, Odisha, India have exclusive jurisdiction over a dispute that relates to these Terms.

Before either party starts legal proceedings, both parties will try to resolve the dispute through good-faith negotiation for at least 30 days after written notice of the dispute.

12. Changes to these Terms

We may update these Terms. We will post the revised version on this page and change the effective date at the top. If you continue to use the website or our services after a change, you accept the revised Terms.
